ROSA SISTEMI – TIMKEN

The Timken Company, a global leader in bearings and industrial motion products, has acquired Rosa Sistemi SpA, an Italian company designing and manufacturing roller guideways, linear bearings, customized linear systems and actuators, commercialized ball guideways and precision ball screws. The company serves numerous customers in various target markets, including, in particular, automation and machine tools.

Rosa Sistemi was assisted by Equita K Finance (Clairfield Italy), part of Equita Group, as financial advisor of the transaction, by the legal firm Heussen for the legal and contractual aspects and by No.Ma Consulting for the tax aspects.

Rosa Sistemi, founded in 1979, directly controls Rosa GmbH and Rosa do Brasil, both commercial subsidiaries based in Switzerland and Brazil respectively, and will post 2023 consolidated turnover of around Euro 15 million. The Rosa Sistemi group currently employs around 65 people and has its headquarters, R&D department and factory in the province of Milan.

The Timken Company (NYSE: TKR), a US-listed multinational corporation with a turnover of more than $4.5 billion and more than 19,000 employees globally, entered the linear motion space in 2018 with the acquisition of Rollon, the European leader in linear guides, telescopic rails, linear actuators and systems. To further strengthen its leadership in linear motion, Timken acquired iMS in 2021 and, earlier this year, Nadella.

Fabrizio Rosa, President of Rosa Sistemi, and Graziano Defilippi, Managing Director of Rosa Sistemi, said: “After having considered the choice for a long time, we have decided to join us to a recognized player in the industry for whom we have sincere respect and who will ensure an even more robust growth to Rosa Sistemi through important production and commercial synergies. In order to ensure continuity, we will both remain involved in the management of the company.”
