RICAMI NBM – GROUP STAR NEW GENERATION

Star New Generation Group (SNG Group), 70% owned by Star Capital through the Star IV – Private Equity Fund and 30% by the Marzioni family, has acquired 80% of the company Ricami NBM S.r.l. (Ricami NBM).

The sellers were assisted by Pedersoli Studio Legale for the legal aspects and by Studio Mantovani & Associati for the accounting and tax aspects. Equita K Finance, the Italian partner of Clairfield International and part of EQUITA Group, acted as advisor on behalf of the sellers.

The due diligence was carried out by Deloitte for financial due diligence, Studio Giliberti Triscornia e Associati for legal due diligence, Studio De Luca & Partners for labour due diligence, Pambianco for business due diligence, ERM for environmental, health and safety due diligence, and Russo De Rosa Associati for tax due diligence and transaction structures. The law firm that handled the deal, assisting Star New Generation, was Studio Giliberti Triscornia e Associati, while Essentia Advisory assisted Group SNG in obtaining bank financing.

Ricami NBM is a company based in Carpi (MO) specialising in the design and production of embroidery for leading luxury brands. The company, owned by Mr. Mauro Marzi, Mr. Giorgio Borelli and Ms. Nadia Nardi, expects to close the financial year 2023 with a turnover of approximately Euro 6 million.
Mauro Marzi will retain a 20% stake in Ricami NBM and will hold the position of President and Managing Director.

With the acquisition of Ricami NBM, SNG Group now has 8 companies with a turnover of close to Euro 140 million and an Ebitda of around Euro 30 million and has more than 650 employees. Thanks to the buy-and-build strategy adopted, the Group has been able to integrate realities of excellence specialised in the design and production of “Made in Italy” garments at the service of the main Luxury Maisons, expanding the range of product categories served.

Star Capital SGR is an independent asset management company dedicated to private equity activities; it manages 2 closed-end funds including the Star IV – Private Equity Fund with a total allocation of Euro 140 million and focuses on buy-out opportunities and development capital investments in small and medium-sized Italian companies.
